SCE Clears TIL Acquisition Of Guayaquil’s Naportec Bananapuerto

Ecuador's Superintendencia de Competencia Económica cleared Terminal Investment Limited Holding S.A. (TIL) to acquire control of Naportec S.A., also identified as Bananapuerto Puerto Bananero S.A.

The asset belonged to Dole Food Company. The sale had been announced in December 2025 at an approximate value of USD 75 million.

Competition Finding

The review covered regular maritime freight transport in containers to and from Ecuador, as well as port operation and administration services in the Guayaquil-Posorja zone.

SCE concluded that the operations do not create, modify, or reinforce market power and do not affect competition, citing alternative port operators and plural supply in international maritime transport.

Strategic Context

TIL is a subsidiary of Mediterranean Shipping Company (MSC) and operates in more than 70 ports across about 50 countries.

Dole is expected to continue using the Guayaquil port under an agreement with the buyer, with TIL providing terminal services including container loading and unloading.

What To Watch

The next signal is transaction closing and any operational changes at the Guayaquil terminal. The strategic issue is whether a deeper MSC-linked terminal footprint shifts container logistics, service reliability, or bargaining dynamics in Ecuador's main port corridor.
